• Maintain valid hosting account and necessary third-party service subscriptions

5. Project Timeline and Deliverables

Project timelines are estimates based on package specifications and client responsiveness. Delays may occur due to:

• Late or incomplete client feedback or materials
• Scope changes or additional requirements
• Third-party service limitations or downtime
• Force majeure events beyond our reasonable control

6. Intellectual Property Rights

Upon full payment, clients receive ownership of custom work created specifically for their project. However:

• Pre-existing DaaCreators methodologies, frameworks, and tools remain our property
• Third-party themes, apps, and plugins are subject to their respective licenses
• We retain the right to showcase completed work in our portfolio (with client consent)
• Clients must ensure they have rights to all materials provided to us

7. Warranties and Disclaimers

We warrant that our services will be performed with professional skill and care. However:

• We do not guarantee specific business results or sales performance
• Third-party platform functionality is subject to their terms and limitations
• We are not responsible for content accuracy or legal compliance of client materials
• Post-launch support is limited to the scope defined in each package

8. Limitation of Liability

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project. We are not liable for indirect, consequential, or punitive damages, including lost profits or business interruption.

9. Confidentiality

We maintain strict confidentiality regarding client information and business details. We will not disclose confidential information to third parties without client consent, except as required by law or necessary for service delivery.

10. Termination

Either party may terminate the agreement with written notice. In case of termination:

• Client remains responsible for payment of completed work and services rendered
• DaaCreators will deliver all completed work and transfer project files upon payment
• Refunds for incomplete work will be evaluated based on project progress and resources invested
• Both parties' confidentiality obligations continue beyond termination

11. Modification of Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms. For ongoing projects, existing terms will apply unless both parties agree to new terms in writing.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, internet outages, or third-party service disruptions.

13. Governing Law and Disputes

These Terms of Service are governed by the laws of where the work was done. Any disputes arising from these terms or our services shall be resolved through good faith negotiation first. If resolution cannot be reached, disputes will be settled through binding arbitration or in the courts of where the work was done.

14. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the original intent.

15. Entire Agreement

These Terms of Service, together with any signed service agreements and our Privacy Policy, constitute the entire agreement between DaaCreators and the client. No other agreements, representations, or warranties exist unless documented in writing and signed by both parties.
